These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("Client", "User", "you") and RayScale ("RayScale Technologies", "we", "our", or "us") regarding the access and use of our website (https://rayscaletech.com/) and all digital services, custom software engineering, mobile applications, and web platforms delivered by RayScale.
By accessing our website, utilizing our online utility tools, or commissioning a digital project with our team, you signify that you have read, understood, and agreed to be bound by all of these Terms.

Mobile Apps Development
Native Android (Jetpack Compose / Kotlin) and cross-platform mobile applications designed for high performance, smooth offline UX, and Google Play Store publication readiness.
Custom Web Engineering
Modern responsive websites, progressive web applications (PWAs), SaaS client dashboards, and custom web platforms built with semantic HTML5, CSS, and modern JavaScript.

100% Client Ownership Guarantee: Upon settlement of all agreed invoice milestones, full intellectual property rights, source code ownership, repository access, and design assets are unconditionally transferred to the Client.
- Client Deliverables: All custom source code, graphic layouts, and documentation crafted specifically for the Client's project belong exclusively to the Client following final payment.
- Open-Source & Third-Party Components: Any third-party libraries, open-source dependencies (e.g. MIT/Apache licenses), or cloud SDKs utilized within the solution remain subject to their respective open-source licensing.
- Studio Portfolio Rights: Unless explicitly restricted by an NDA, RayScale reserves the right to showcase non-confidential visual previews and case study summaries in our public agency portfolio.
Our project engagements operate under structured, milestone-driven transparency:
- Project Deposit: A standard initial commitment deposit (typically 30% to 50%) is required before project sprint kick-off and architectural scoping.
- Milestone Sign-Off: Interim milestone payments correspond to tangible deliverables (e.g. UI/UX approval, Alpha build demonstration, Beta testing release).
- Final Balance & Deployment: Final balance is due upon successful staging review and prior to production store upload or live server DNS cutover.
- Currency & Payment Gateways: Invoices are payable via direct bank wire transfer, UPI, or authorized international digital payment rails.
To ensure optimal project delivery velocity, the Client agrees to:
- Provide required assets, branding guidelines, content copy, and third-party API credentials in a timely manner.
- Designate a primary project point of contact for sprint feedback and milestone approvals.
- Ensure all materials and assets supplied to RayScale are free from copyright infringement or third-party intellectual property violations.
We take immense pride in our engineering rigor and code quality:
30-Day Free Bug-Fix Warranty: All custom projects delivered by RayScale include a complimentary 30-calendar-day warranty following final deployment, covering any deviations or technical defects from the agreed specification scope.
Ongoing feature enhancements, infrastructure scaling, and monthly maintenance plans are available under dedicated Service Level Agreements (SLAs).
To the maximum extent permitted by applicable law, RayScale shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or operational disruptions arising from third-party server outages, platform policy changes by app stores, or unauthorized third-party modifications to the codebase.
In all circumstances, our maximum aggregate liability under any contract claim shall not exceed the total fees paid by the Client to RayScale for the specific project in dispute.
Either party may terminate an active project engagement with 14 calendar days' written notice via email. In the event of early termination:
- The Client shall compensate RayScale for all work completed and verified up to the date of termination.
- RayScale shall promptly deliver all completed source files, documentation, and design assets corresponding to settled milestone payments.
These Terms shall be governed by and construed in accordance with the laws of West Bengal, India, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in West Bengal, India.
